## Job description
- Assist with various corporate governance matters generally including preparing and maintaining public company policies and the corporate governance website
- Collaborate on a wide range of matters for the Board of Directors, including meeting preparation, agenda and materials drafting, preparing meeting materials for electronic distribution, director compensation and director orientation
- Assist with the Insider Trading Program compliance, including providing stock trading clearances You will prepare SEC Section 16 insider trading filings Draft certain SEC filings on Form 8-K and collaborate on preparing certain sections of other SEC filings such as Form 10-K and 10-Q Prepare key sections of the annual general meeting of shareholders (“AGM”) proxy statement and draft director and officer questionnaires and AGM documents And you will support as needed general corporate matters such as subsidiary maintenance, drafting secretary certificates, and other certificates
