## Job description
- 负责根据公司法及相关监管规则，建立健全公司治理结构及管理制度，优化公司治理流程，确保公司治理机制符合国家法律法规及监管要求；
- 协助筹备公司三会及各专门委员会，完成三会及各专门委员会会议文件准备、会议记录、决策跟踪等工作；
- 负责指导和监督公司各子公司规范运作，协助子公司建立健全治理体系；
- 组织参股企业“三会”议案评审，协助公司外派董监事合规履职，制定外派董监事履职评价体系并实施；
- 完成部门日常事务及领导交办的其他工作。

### 教育背景
- 证券、法律、金融或财务等相关专业

### 工作经验
- 3年以上大型上市集团董事会办公室或证券部工作经验，有港股上市公司从业经验的优先。

### 其他
- ①熟悉上市公司规范运作规则，具有大型集团公司规范治理工作经验优先； ②熟悉公司法、证券法等相关法律法规及联交所，沪深交易所的相关监管规则，具有董秘资格证、法律资格证或CPA等资格证优先； ③具有较强的责任心、事业心和团队合作意识，沟通能力强，工作细致认真，计划性强 ④英语具备熟练写作和交流能力
